Terms of Service

1. Acceptance of Terms

By accessing or using DuesSync (“Service,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These Terms apply to all users of DuesSync, including council administrators (Financial Secretaries and other officers), and council members who access the Service through a council-issued invitation.

2. Description of Service

DuesSync is a council operations and membership management platform built for Knights of Columbus local councils. It enables council Financial Secretaries to:

  • Import and manage member rosters
  • Automate annual dues billing notices via email and SMS
  • Accept dues payments online through Stripe
  • Invite council officers and members to access their own records
  • Track billing status and payment history
  • Record and manage prospective member information through a recruitment pipeline
  • Send individual follow-up communications to prospects at the direction of authorized officers
  • Collect fraternal activity survey data (Form 1728) digitally from members and manage council-level sections on their behalf
  • Manage officer compliance records, Form 185 officer rosters, and Form 365 program director assignments
  • Track Safe Environment compliance including background check status for required officer roles

DuesSync is not affiliated with, endorsed by, or an official product of the Knights of Columbus Supreme Council.

3. Eligibility and Accounts

Council Administrator Accounts

Access to the administrator portal is approval-gated. You must submit an access request that is reviewed and approved before an account is created. By requesting access, you represent that you are an authorized officer of the council you intend to manage.

Council Officer and Member Accounts

Council members and officers may receive invitation emails from their council’s Financial Secretary. By accepting an invitation and creating an account, you agree to these Terms. Member accounts provide read-only access to your own membership record and dues status.

Account Security

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at admin@duessync.com if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any purpose other than legitimate council dues administration
  • Attempt to access accounts, data, or systems you are not authorized to access
  • Upload malicious code, interfere with the Service, or attempt to reverse-engineer any component
  • Use the Service to send unsolicited bulk communications; prospect outreach is limited to individual follow-up with people who have expressed interest in joining your council
  • Misrepresent your identity or your authority to manage a council’s records
  • Violate any applicable law or regulation

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

5. Payment Processing

Dues payments are processed by Stripe. By submitting a payment through DuesSync, you agree to Stripe’s Services Agreement. DuesSync does not store payment card or bank account numbers. Stripe connects directly to each council’s Stripe account; DuesSync does not hold or disburse funds on behalf of any council.

Refund and dispute policies are set by the council. Contact your council’s Financial Secretary regarding any payment dispute.

6. Data and Privacy

Your use of DuesSync is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Council administrators are responsible for ensuring that member data they import and manage is handled in compliance with applicable privacy laws. This responsibility extends to prospect data — councils must have an appropriate basis for collecting and retaining information about prospective members and must inform those individuals that their information is being maintained in this system.

Organizations that require a Data Processing Agreement (DPA) for compliance with CCPA, GDPR, or other applicable data protection law may request one by contacting us at admin@duessync.com.

7. Intellectual Property

DuesSync and its original content, features, and functionality are owned by DuesSync and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

All member records, payment history, and council data entered into or imported into DuesSync remain the property of the council. DuesSync acts as a data processor on behalf of the council — we claim no ownership over that data and will not use it for any purpose beyond operating the service for your council.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.

DuesSync is not responsible for errors or omissions in member data imported from external sources, payment failures caused by Stripe or banking institutions, or the delivery of email and SMS notices through Resend and Twilio.

9. Limitation of Liability

To the fullest extent permitted by law, DuesSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

10. Termination

Either party may terminate the use of the Service at any time. Upon termination, your right to access the Service ceases immediately. Council administrators may request an export of their council’s data before account closure by contacting us at admin@duessync.com. Following account closure, all council member data will be permanently deleted from DuesSync servers within 30 days, with written confirmation provided upon request. We may retain minimal records required for legal or accounting obligations (such as payment transaction records) for the period required by applicable law, but no council membership or contact data will be retained beyond 30 days after account closure.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved in a court of competent jurisdiction in Santa Clara County, California.

12. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of DuesSync after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated to active administrators via email where practicable.
